These Terms and Conditions ("Terms") govern your access to and use of the TomoAds advertising network. By creating an account or using the platform, you agree to these Terms. If you do not agree, do not use TomoAds.

1. Overview of the Service

TomoAds is an advertising network that connects advertisers, who create and fund ad campaigns, with publishers, who display ads on their websites or Telegram channels and bots and earn revenue in return. We provide the technology, analytics, fraud protection, and payment infrastructure that make this possible.

2. Eligibility and Accounts

You must be at least 18 years old and able to enter into a binding contract to use TomoAds. You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account.

We may suspend or terminate accounts that violate these Terms, engage in fraud, or misuse the platform.

3. Advertiser Terms

3.1 Campaigns and Content

Advertisers are solely responsible for the content of their ads, including all creative assets, text, and landing pages. You agree not to advertise anything unlawful, deceptive, malicious, or that infringes the rights of others. We may reject or remove any campaign at our discretion.

While TomoAds may apply automated and manual measures to screen and block unlawful or prohibited material, these measures do not transfer any responsibility to us. Full legal responsibility and liability for the content, legality, and compliance of any advertisement rests entirely with the advertiser. Our screening efforts are provided on a reasonable-effort basis and do not constitute a warranty, endorsement, or assumption of liability for any advertiser content.

3.2 Deposits and Billing

The minimum deposit is 10 USD (or equivalent). Campaigns are billed according to your selected bid type — cost per click, cost per thousand impressions, or cost per action — against your available balance. You are charged only for valid, non-fraudulent events as determined by our detection systems.

3.3 Refunds

Unused advertising funds may be eligible for refund, subject to the following conditions to prevent abuse of the platform:

Funds already spent on delivered ad events are non-refundable.
For the return of unused deposited funds, you may either wait a holding period of 14 days before withdrawal, or request early withdrawal subject to a processing fee of 5 USD.

4. Publisher Terms

4.1 Inventory and Integration

Publishers are responsible for the properties on which they display ads and must genuinely own or control them. Ownership is verified during setup. You agree not to place ads on properties containing unlawful, harmful, or infringing content.

4.2 Earnings and Fraud

Publishers earn revenue based on valid ad events served to real users. Events determined to be fraudulent, artificially generated, or otherwise invalid will not be counted or paid. Attempting to inflate earnings through fake traffic, bots, or manipulation will result in forfeiture of earnings and termination.

4.3 Withdrawals

The minimum withdrawal is 10 USD (or equivalent, as configured in platform settings). To allow time for fraud verification, earnings are subject to a holding period of 7 days after they are recorded before they become available for withdrawal.

Withdrawals may be paid in cryptocurrency (via NOWPayments) or fiat (via Stripe), according to availability. Withdrawals above 1,000 USD may be subject to manual review and approval before processing.

5. Commission

TomoAds retains a commission of 30% on advertising spend transacted through the platform. The remaining amount is credited to the publisher who served the ad. We may adjust our commission structure in the future, with notice provided through the platform.

6. Payments

Payments and payouts are processed through our third-party providers, Stripe (fiat) and NOWPayments (cryptocurrency). By transacting on TomoAds, you also agree to the applicable terms of these providers. We are not responsible for delays, failures, or issues caused by third-party payment providers.

You are responsible for any taxes arising from your use of the platform.

7. Prohibited Conduct

You agree not to:

Use the platform for any unlawful, fraudulent, or deceptive purpose
Generate fake impressions, clicks, or conversions, or otherwise manipulate ad events
Distribute malware, phishing, or harmful content through ads or placements
Interfere with, disrupt, or attempt to gain unauthorized access to the platform or its systems
Circumvent fraud detection, billing, or security mechanisms

Violation may result in immediate suspension or termination and forfeiture of associated funds or earnings.

8. Fraud Detection

We operate automated systems to detect and prevent fraudulent and invalid activity. Decisions made by these systems — such as classifying an event as invalid — directly affect billing and earnings. We reserve the right to withhold payment for, or refuse to bill for, any activity we reasonably determine to be invalid.

9. Intellectual Property

TomoAds and its underlying technology, design, and content are owned by TomoAds LLC and protected by applicable laws. You retain ownership of the creative content you upload, but grant us the license necessary to host, display, and deliver it as part of the service.

10. Disclaimers

The platform is provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not guarantee specific campaign results, earnings, uptime, or the availability of any particular feature. Advertisers and publishers transact with each other through the platform at their own risk.

11. Limitation of Liability

To the maximum extent permitted by law, TomoAds LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the platform. Our total liability for any claim shall not exceed the amount you paid to us, or that we owed to you, in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless TomoAds LLC and its members from any claims, damages, losses, or expenses arising from your use of the platform, your content, or your violation of these Terms.

13. Termination

You may close your account at any time. We may suspend or terminate your access for any violation of these Terms or for conduct that harms the platform or other users. Provisions that by their nature should survive termination will continue to apply.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and communicate significant changes through the platform. Continued use after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles.
